Overview

These Vendor Terms (“Terms”) govern your selling activities on deerab.com (“Marketplace”) operated by Deerab Trade Inc. By listing products or fulfilling orders, you agree to these Terms.

Seller Onboarding

• Provide accurate business details, tax information, banking for payouts, and valid contact channels.
• Comply with all applicable laws and our Marketplace policies (restricted/prohibited items, safety, labeling).

Listings & Content

• Provide accurate titles, descriptions, images, pricing, and stock levels.
• No counterfeit or infringing items. You must have rights to all content you upload.
• Update availability promptly; remove discontinued items.

Orders, Fulfillment & Shipping

• Acknowledge new orders within 1 business day. Ship within stated handling time.
• Provide valid tracking where available.
• Use secure packaging; include packing slip when required.
• Meet service levels: on-time ship rate targets, low cancellation and defect rates (targets communicated during onboarding).

Returns & Customer Service

• Honor our Return & Refund Policy and applicable consumer laws.
• Respond to buyer inquiries within 2 business days.
• For defective/incorrect items, provide prepaid return or replacement as appropriate.

Fees & Payouts

• Commission per completed sale and payment processing fees apply (rates may vary by category/promotion).
• Payouts are remitted to your bank on a defined schedule (provided during onboarding).
• We may offset refunds/chargebacks/fees from your payable balance.

Compliance & Audits

• We may audit listings and order records to ensure policy compliance.
• Noncompliance may result in listing removal, holds, or account suspension.

Intellectual Property

• You grant Deerab a non-exclusive right to use your brand assets and listing content for marketing the listings on the Marketplace.
• Report IP infringement claims to [email protected].

Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. Deerab’s aggregate liability for claims relating to your selling activity is limited to the fees paid by you to Deerab in the 3 months preceding the claim.

Termination

• Either party may terminate at any time with notice. Obligations for existing orders, returns, and legal compliance survive termination.

Governing Law

These Terms are governed by the laws of Alberta and applicable laws of Canada. You agree to the exclusive jurisdiction of Alberta courts.
